Idaho is a Uniform State, which accepts the Uniform Certificate of Authority Application (UCAA). Please complete the Corporate Amendments Application found at the National Association of Insurance Commissioners (NAIC) Web site.

(A) Merger Between Idaho Licensed Companies:

UCAA Section VII - Merger of Two or More Foreign Insurers

  9. NAIC Biographical Affidavits (not required)
  10. Service of Process (UCAA Form 12)
  11. State of Domicile Approval (a copy of the order from each state)
  12. State Specific Information :
    1. A copy of the approved “ Agreement and Plan of Merger ” between the companies
    2. Information Statement
    3. Please indicate the following in your cover letter :
      1. Effective Date of the Merger in the state of domicile of the surviving company
      2. Whether there are any Idaho policyholders for the non-surviving company
      3. Whether the surviving company wishes to transfer all the appointments of the non-surviving company to the surviving company upon the merger completion (no charge for this service if requested before the merger filing completion in Idaho)

(B) Merger Involving Companies Not Licensed in Idaho:

    1. If a licensed Idaho insurer merges into an insurer not licensed in Idaho, please refer to the instructions for a voluntary withdrawal of an Idaho licensed company.

    2. If a non-surviving insurer is not licensed in Idaho, please notify us of the completion of the merger in writing. The UCAA corporate amendment application is not required.

    3. If a non-surviving insurer has any insurance policies in force in Idaho at the time of the merger, please submit a copy of the Merger Endorsement along with the notification mentioned above.

Fees:  There is no fee for these filings.
